Welcome to uvsity, an online educational social network with online learning platform. The uvsity.com website and service including (without limitation) all websites, mobile applications and other interactive properties through which the service is delivered (collectively, the “Service”) are owned, operated and distributed by Uvsity Corporation, a Delaware corporation (referred to in these Terms as “uvsity” or “we” and through similar words such as “us,” “our,” etc.). By accessing any part of the Service, You are agreeing that by clicking “Signup Now”, “Join Uvsity”, “Sign Up” or similar, registering, accessing or using our services but not limited to, you are agreeing to enter into a legally binding contract with Uvsity. If you do not agree to this contract (“Contract” or “User Agreement”), do not click “Signup” or “Submit” (or similar) and do not access or otherwise use any of our Services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our Services.

As a Visitor or Member of our Services, the collection, use and sharing of your personal data is subject to this Privacy Policy. (which includes our Cookie Policy and other documents referenced in this user agreement) and updates.

When you signup or register at uvsity.com, you become a Member. If you have chosen not to register, you may access certain features as a “Visitor.”

We may modify this Agreement, our Privacy Policy. and our Cookies Policies from time to time. You are responsible for ensuring we have an up-to-date active and deliverable email address for you, and for periodically visiting our Websites and this agreement to check for any changes.

If you object to any change, you may Delete Account on My Account section. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms.

The following terms apply to you in order to use our Services and any account that you may open or attempt to open via the Service:

  • You represent and warrant that you are at least 16 years of age. If you are under age 16, you may not, under any circumstances or for any reason, use the Service. However, in certain countries if law requires that you must be older than 16 years of age in order for Uvsity to lawfully provide the Services to you without parental consent (including using of your personal data) then you must meet the that older age requirement of the country.
  • You must be a human to open an account. Accounts registered by “bots” or other automated methods are not permitted.
  • You will only have one account with uvsity.com which must be in your real name.
  • You are not previously or currently restricted by Uvsity from using the Services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 16.
  • You are responsible for maintaining the security of your account and strong password. We view any actions taken by your account as taken by you. Uvsity will not be liable for any loss or damage from your failure to comply with this security obligation.

Our services allow content sharing in many ways such as your profile, courses, contents posted in Topics, contents used in courses, reviews, comments, links to new articles, blogs, emails. Information and content that you share or post may be seen by other Members, Visitors or others (including off of the Services).

Uvsity will not tolerate violations of intellectual property rights on the Service. If you are a copyright owner and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”). To provide Uvsity notice of an infringement, you must provide a written communication to the attention of “DMCA Infringement Notification Dept.” care of support@uvsity.com that sets forth the information specified by the DMCA (see http://www.copyright.gov/title17/92chap5.html#512). You may be liable for damages (including costs and attorneys' fees) if you materially misrepresent that an activity is infringing your copyright.

Uvsity Paid Membership:

You may subscribe one of our paid membership (Standard, Premium, Professional) by subscribing to pay monthly or annual membership fees for the features mentioned under the membership levels at the time of subscription.

Recurring Billing

The membership fee will be billed on the beginning of the paying portion of your membership and each month or year thereafter unless and until you cancel your membership. We automatically bill your Payment Method each month on the calendar day corresponding to the commencement of your paying membership. We reserve the right to change the timing of our billing, in particular, as indicated below, if your Payment Method has not successfully settled. In the event your paying membership began on a day not contained in a given month, we may bill your Payment Method on a day in the applicable month or such other day as we deem appropriate. For example, if you started your Premium Membership or became a paying member on May 31st, your next payment date is likely to be June 30th, and your Payment Method would be billed on that date.

You are responsible for deciding if you want to access or use third-party apps or sites that link from our Services. If you allow a third-party app or site to authenticate you or connect with your Uvsity account, that app or site can access information on Uvsity related to you and your connections. Third-party apps and sites have their own legal terms and privacy policies, and you may be giving others permission to use your information in ways we would not. Intellectual Property Rights:

Uvsity reserves all of its intellectual property rights in the Services. Using the Services does not give you any ownership in our Services or the content or information made available through our Services. Trademarks and logos used in connection with the Services are the trademarks of their respective owners.

Disclaimer of Warranties:

The service and all materials included therein are provided on an “as is” and “as available” basis without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose, or the warranty of non-infringement. without limiting the foregoing, we make no warranty that (a) the service and materials will meet your requirements, (b) the service and materials will be uninterrupted, timely, secure, or error-free, (c) the results that may be obtained from the use of the service or materials will be effective, accurate or reliable, or (d) the quality of any course that you attend via the service, or any other products, services, or information purchased or obtained by you from the service from us or our affiliates will meet your expectations or be free from mistakes, errors or defects.

The service could include technical or other mistakes, inaccuracies or typographical errors. we may make changes to the service and any of the content or features included therein, including the prices and access rules for any functionality, at any time without notice. the content included on the service may be out of date, and we make no commitment to update such content.

The use of the service or the downloading or other acquisition of any materials through the service is done at your own discretion and risk and with your agreement that you will be solely responsible for any damage or loss of data that results from such activities.

Through your use of the Service, you may have the opportunities to engage in commercial transactions with other users and vendors, including (without limitation) attendee and tutors. You acknowledge that all transactions relating to any class or other merchandise or services offered by any party, including, but not limited to the purchase terms, payment terms, warranties, guarantees, maintenance and delivery terms relating to such transactions, are agreed to solely between the seller or purchaser of such merchandise and services and you. We make no warranty regarding any transactions executed through, or in connection with the service, and you understand and agree that such transactions are conducted entirely at your own risk. Any warranty that is provided in connection with any course, products, services, materials, or information available on or through the service from a third party is provided solely by such third party, and not by us or any other of our affiliates.

Content available through the Service or presented at any course represents the opinions and judgments of an information provider, user, or other person or entity not connected with us. We do not endorse, nor are we responsible for the accuracy or reliability of, any opinion, advice, or statement made by anyone other than an authorized Uvsity spokesperson speaking in his/her official capacity. Please refer to the specific editorial policies posted on various sections of the Service for further information, which policies are incorporated by reference into these Terms of Service.

The Courses offered on Uvsity are offered directly by the tutors or users. Uvsity is not responsible or liable for any information on its Service listings or profiles. Uvsity is not responsible for any changes made to a course by the tutor.

You understand and agree that temporary interruptions of the Service may occur as normal events. You further understand and agree that we have no control over third party networks you may access in the course of the use of the Service, and therefore, delays and disruption of other network transmissions are completely beyond our control.

You understand and agree that the Service is provided “AS IS” and that we assume no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings.

Some states or jurisdictions do not allow the exclusion of certain warranties, so some of the above limitations may not apply to you.

Limitation of Liability:

In no event shall we or any other Uvsity party be liable to you or any third party for any special, punitive, incidental, indirect or consequential damages of any kind, or any damages whatsoever, including, without limitation, those resulting from loss of use, data or profits, whether or not we have been advised of the possibility of such damages, and on any theory of liability, arising out of or in connection with the use of the service or of any web site referenced or linked to from the service.

Further, neither we, nor any other Uvsity party, shall be liable in any way for any course or other third party goods and services offered through the service or for assistance in conducting commercial transactions with other users of the site, including without limitation any transaction between a course attendee and tutor.

Some jurisdictions prohibit the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

General Terms:

If a court with authority over this Contract finds any part of it unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and we agree to ask the court to remove that unenforceable part and still enforce the rest of this Contract.

To the extent allowed by law, the English language version of this Contract is binding and other translations are for convenience only. This Contract (including additional terms that may be provided by us when you engage with a feature of the Services) is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.

If we don't act to enforce a breach of this Contract, that does not mean that Uvsity has waived its right to enforce this Contract. You may not assign or transfer this Contract (or your membership or use of Services) to anyone without our consent. However, you agree that Uvsity may assign this Contract to its affiliates or a party that buys it without your consent. There are no third-party beneficiaries to this Contract.

Termination:

Both you and Uvsity may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services. The following shall survive termination:

Our rights to use and disclose your feedback;

Members and/or Visitors’ rights to further re-share content and information you shared through the Service to the extent copied or re-shared prior to termination;

Sections “Disclaimer of Warranties”, “Limitation of Liability” and “General Terms” of this Contract

Any amounts owed by either party prior to termination remain owed after termination.
